Asset Library Licence
/asset-licenceThe terms on which approved stockists may use the photography, artwork previews, copy and data feeds in the asset download centre. Downloading an asset accepts this licence. It sits alongside the Terms of Trade; where the two conflict, the Terms of Trade prevail.
1. The grant
We grant you a non-exclusive, non-transferable, royalty-free licence to use the assets in the download centre for one purpose: marketing and reselling Spiral Direct Goods that you stock, have on order, or are listing for pre-order with our agreement.
The licence runs for as long as your trade account is open and in good standing. It is personal to your account and cannot be sublicensed, sold, or passed to another retailer, agency or platform except a service provider acting on your behalf and bound by these terms.
2. Where you may use them
- Your own website and any storefront you operate on a marketplace, including eBay, Etsy, Amazon and Not On The High Street.
- Your social media channels, where the post relates to Goods you sell.
- Printed material you produce — flyers, catalogues, market stall signage.
- Email to your own customers.
- Paid advertising for your own shop, subject to section 5.
3. Credit and product information
Product names, artwork titles and artist credits must be kept as supplied. Credit Spiral Direct as the brand. Do not present our artwork, photography or product design as your own, and do not describe your business as the designer or manufacturer.
Where a product carries a licensed artist credit, that credit must appear in the listing. For the Anne Stokes collection the credit is "Artwork © Anne Stokes".
4. Licensed ranges
Assets for Licensed Ranges carry the restrictions in section 12 of the Terms of Trade and the following in addition.
- Product photography may be used for resale listings. Loose artwork files are not supplied and will not be released.
- The artwork must not be separated from the product image, cropped to isolate it, or used as a background, banner or header graphic.
- Assets may only be published on storefronts that ship within your cleared territory: the United Kingdom, Ireland and the European Union.
- The licence for these assets ends immediately if our licence from the rights holder ends. We will tell you, and you must remove the assets within 30 days.
5. What is not permitted
- Editing, recolouring, redrawing, filtering or cropping artwork, or removing a watermark, logo or credit.
- Using artwork or photography on print-on-demand platforms, or on any product of your own.
- Registering, or attempting to register, any of our artwork, names or marks as a trade mark or design right.
- Bidding on, or using our brand name in, paid advertising alongside another clothing brand in a way that implies partnership or comparison.
- Publishing trade prices, line sheets, feed contents or pre-release drop material.
- Uploading assets to a stock library, a shared drive open to other retailers, or an AI training dataset.
- Using assets for Goods you do not stock, or continuing to use them for lines you have discontinued for more than 90 days.
6. Feeds and API keys
The CSV and XML product feeds are provided under the same licence. The API key issued to your account is confidential, identifies your account in our logs, and must not be shared. Poll no more frequently than once every 30 minutes; feeds refresh on that cycle and more frequent requests may be rate limited.
Feed data — stock figures, trade prices, barcodes, weights and carton dimensions — may be used in your own systems and listings. Trade prices must not be exposed publicly in any feed you republish.
7. Accuracy
Assets are supplied as they are. We take care that photography and copy are accurate at the time of publication, but colour reproduction varies between screens and print, and specifications can change between production runs. Check the product page before repeating a claim about fabric, weight or dimensions in your own listing. We are not liable for loss arising from your use of an asset, and you remain responsible for the accuracy and legal compliance of your own listings, including labelling and safety information.
8. Ending the licence
The licence ends when your trade account closes, when we withdraw it in writing, or when you breach these terms. On termination you must stop downloading assets and remove them from your channels within 30 days, except that listings for Goods you still hold in stock may run until that stock is sold.
